EntasisType’s All-in-One licence is designed to simplify professional font use across real design work: desktop design, branding, websites, apps, documents, campaigns, social media, audiovisual content and internal rendering.

The licence is granted for one final beneficiary and priced according to the size of that beneficiary. If you are buying for a client, brand or company, select the tier that matches the end client, not your studio, agency or supplier.

For large organisations, corporate groups, platforms, OEM, redistribution, templates, font-as-a-service or uses outside the retail licence, a custom licence is required.

One final beneficiary

The All-in-One licence is assigned to the person, brand, company or organisation that receives the real and ongoing benefit of the font use. It does not automatically extend to parent companies, subsidiaries, sister brands, corporate groups, clients or third parties unless expressly covered by a custom agreement.

Buying for a client

If a studio, agency, freelancer, supplier or intermediary buys a licence for a client, the correct tier is based on the client's size. The licence follows the final beneficiary, not the party making the purchase.

When a custom licence is required

A custom licence is required for large companies, corporate groups, multinational organisations, OEM, hardware, firmware, platforms, templates, public font libraries, font-as-a-service, redistribution, third-party design systems, white-label products, editable templates, marketplace products or any use where third parties can access or reuse the Font Software.

IMPORTANT
Read this Agreement carefully. By purchasing, downloading, installing, accessing or using the Font Software, you agree to be bound by this Agreement. If you do not agree, do not purchase, download, install or use the Font Software.

1. PARTIES AND NATURE OF THE LICENCE

This Agreement is entered into between EntasisType, with registered address in Madrid, Spain ("EntasisType", the "Licensor", "we", "us"), and the natural or legal person identified in the order confirmation (the "Licensee", "you").

This transaction is a licence to use, not a sale. The Font Software is licensed, not transferred in ownership. All intellectual property and industrial property rights in the Font Software remain the exclusive property of EntasisType or, where applicable, its licensors.

2. DEFINITIONS

"Font Software" means the font files, variable fonts, glyph data, tables, instructions, feature code, metadata, auxiliary files and documentation associated with the purchased product.

"Family" means the set of styles or files marketed as one type family, including, where applicable, its variable font files.

"Final Beneficiary" means the natural or legal person that receives the real and ongoing benefit of the licence and in whose business, brand, product, service or own channels the Font Software is used.

"Licence Tier" means the level of coverage contracted according to the size of the Final Beneficiary, as stated in the order confirmation or in the licence table published by EntasisType at the time of purchase.

"Own Channels" means the media and environments of the Final Beneficiary or under its operational control, including its graphic materials, websites, apps, documents, audiovisual pieces, social media, internal systems and internal rendering services, always within the limits of this licence.

"Authorised Contractor" means an independent third party who temporarily works for the Licensee or for the Final Beneficiary on tasks related to the authorised uses and who is subject to confidentiality and non-redistribution obligations.

"Group" means any parent company, subsidiary, affiliate, holding company, sister brand, joint venture, franchise or entity under common control that is not expressly identified as a covered Final Beneficiary.

"Excluded Uses" means uses not covered by this retail All-in-One licence and requiring an Enterprise licence, custom licence or separate written authorisation.

3. WHAT THIS LICENCE COVERS

This licence covers only: (a) the specific Font Software identified in the order confirmation; (b) the selected and paid Licence Tier; (c) one Final Beneficiary; and (d) the uses expressly permitted in this Agreement.

If you purchase for a client, brand, company or final entity, the applicable Licence Tier is the tier of the Final Beneficiary and not that of your studio, agency, supplier or intermediary.

4. GRANT OF LICENCE

Subject to full payment and compliance with this Agreement, EntasisType grants the Licensee a non-exclusive, worldwide, perpetual, non-transferable, non-sublicensable licence, revocable in the event of material breach, to use the Font Software in the Own Channels of the Final Beneficiary within the scope of this Agreement.

This retail All-in-One licence is intended for one Final Beneficiary only. It does not automatically cover Group entities or third parties other than the Final Beneficiary, except to the limited extent permitted for Authorised Contractors in clause 8.

5. PERMITTED USES

Without prejudice to the other conditions of this Agreement, the Font Software may be used for the following purposes, without purchasing separate licences by channel, pageviews, MAU, campaign or project, provided that the use remains within the Own Channels of the Final Beneficiary and within the purchased Licence Tier.

5.1 Desktop and static design use. You may install and use the Font Software on internal devices and environments to create static works, including visual identity, editorial design, packaging, signage, print materials, marketing materials, presentations, advertisements, social media, catalogues, merchandising and other graphic materials.

5.2 Branding and logos. You may use the Font Software to create logos, wordmarks, identity systems and other brand assets of the Final Beneficiary. The result may be registered as a trade mark of the Final Beneficiary, but that registration does not transfer or limit EntasisType's ownership of the Font Software, the typeface as software or the font name.

5.3 Web and own web products. You may self-host and serve the Font Software on websites, microsites, online stores, web products and interfaces owned or controlled by the Final Beneficiary, provided that the Font Software is not made available as a standalone download or as a reusable resource for third parties.

5.4 Apps, software and own videogames. You may embed the Font Software in mobile applications, desktop software, proprietary software, own SaaS products and videogames of the Final Beneficiary, provided that the files are reasonably protected against extraction and are not distributed as standalone assets.

5.5 Documents and publications. You may embed the Font Software in PDFs, ePubs, reports, dossiers, presentations, editorial publications, commercial documentation and equivalent documents for viewing and printing. Editable embedding for reuse by third parties is not authorised unless expressly agreed.

5.6 Audiovisual, motion and broadcasting. You may use the Font Software in titles, credits, subtitles, captions, motion graphics, audiovisual pieces, advertising campaigns, streaming, broadcast, DOOH and equivalent content, provided that the font files are not distributed to viewers, clients or third parties as reusable assets.

5.7 Social media and promotional content. You may use the Font Software in profiles, posts, advertisements, campaigns, videos, images and other content of the Final Beneficiary on social media and promotional platforms.

5.8 Internal server-side rendering. You may use the Font Software on servers to generate images, PDFs, compositions, previews, videos, documents, customised creatives or other rendered outputs for the Final Beneficiary's own services, provided that the Font Software is not exposed or offered to third parties as a reusable typographic service.

5.9 Internal tools and collaborative services. You may use the Font Software in internal tools, DAM systems, VDI environments, internal cloud services, design, prototyping, production and CI/CD workflows, provided that access is limited to the Final Beneficiary and its Authorised Contractors within the scope of this licence.

5.10 Technical conversion and file preparation. You may subset, compress, convert to compatible web formats, package, cache, configure embedding and carry out the strictly necessary technical adaptations to deploy the Font Software within the authorised uses. You may also convert text to outlines in final artwork. These operations do not authorise you to create or distribute a derivative font.

6. FINAL BENEFICIARY AND LICENCE TIER RULE

The validity of this licence depends on the contracted Licence Tier corresponding to the actual size of the Final Beneficiary.

If the Final Beneficiary later exceeds the purchased Tier, the licence will not automatically terminate, but it must be regularised through the corresponding upgrade within a reasonable period from the first relevant event, including, among others, a new purchase, an extension of use, a verification request or an internal compliance review.

If the purchase is made for a client and the Final Beneficiary later changes, a new licence will be required.

7. STRICTLY PROHIBITED USES

Unless previously and expressly authorised in writing by EntasisType, it is prohibited to sell, resell, redistribute, give away, rent, lend, sublicense or assign the Font Software as a product, file or standalone asset; share the Font Software with unauthorised third parties; upload it to public repositories, marketplaces or open libraries; include it in editable templates, themes, website builders, plugins, white-label kits, design systems for third parties or resale products; use it in OEM, firmware, hardware, automotive, wearables, consumer electronics or smart devices; operate it as font-as-a-service, an API, typographic engine, typographic library or platform capability accessible by third parties; allow third parties outside the Final Beneficiary to compose with or exploit the font as a reusable resource; create derivative fonts, renamed files, new weights, new widths, variants, derivative colour fonts, expanded character sets or substantial modifications; decompile or reverse engineer except where mandatorily permitted by law; remove copyright notices or metadata; use the font name as your own trade mark; falsely claim authorship; or use the Font Software in breach of the law, third-party rights or this Agreement.

8. AUTHORISED CONTRACTORS

The Licensee may provide the Font Software to Authorised Contractors only when they work exclusively for the Final Beneficiary on tasks covered by this licence, receive only the necessary files, are bound in writing not to redistribute or reuse the Font Software outside the assignment, and delete the Font Software when their work ends or when requested.

The Licensee is responsible to EntasisType for any breach by its Authorised Contractors.

9. AI / MACHINE LEARNING

It is expressly prohibited to use the Font Software, its glyphs, outlines, metrics, spacing, kerning, feature code, tables, hinting, variable font files, specimens or outputs that could materially enable reconstruction of the font to train, fine-tune, validate, test, evaluate or improve artificial intelligence, machine learning or equivalent systems that generate, reconstruct, classify, imitate, replace or extract fonts, typefaces, lettering or typographic styles.

It is also prohibited to incorporate the Font Software, in whole or in part, into datasets, model weights, prompt libraries aimed at recreating the style, or technical evaluation workflows of typographic generative systems.

The Font Software may be used to compose ordinary commercial works whose final result is an image, PDF, video or closed output, provided that the Font Software does not become part of the training, tuning or evaluation system.

10. OWNERSHIP AND RESERVATION OF RIGHTS

All rights not expressly granted in this Agreement are reserved by EntasisType. The licence does not transfer ownership of the Font Software, its code, structure, data, trade name or identifying elements. The Licensee acquires no right to exploit the Font Software outside the scope expressly granted.

11. TRIALS, DEMOS AND FREE FILES

Trial, demo, beta or free evaluation files, where available, are provided exclusively for internal review unless expressly stated otherwise. They may not be used in production, public work, client commissions, commercial publications or externally distributed assets. Trial and demo files are governed by the Trial Font Licence.

12. SUPPORT, UPDATES AND VERSIONS

EntasisType may publish minor technical corrections to the licensed Font Software and make them available to the Licensee at its discretion.

Unless expressly stated in the product page or order confirmation, new families, new styles, substantial repertoire expansions, new scripts, major new commercial versions and custom products are not automatically included.

13. LIMITED WARRANTY

For 90 days from delivery, EntasisType warrants that the Font Software will substantially conform to the product description and will operate, in a materially correct manner, in standard and compatible environments.

This warranty does not cover problems caused by third-party software or systems, unsupported or incompatible environments, unauthorised modifications, use outside the scope of the licence or breach of this Agreement.

If there is a material defect covered by this warranty, EntasisType's sole obligation will be, at its choice, to repair, replace or refund the affected Font Software.

14. CONSUMERS, DIGITAL CONTENT AND REFUNDS

If you act as a business, professional or non-consumer entity, all sales are final unless mandatory law provides otherwise or EntasisType expressly agrees otherwise in writing.

If you act as a consumer, you retain all mandatory rights recognised by applicable law on consumer protection and digital content.

Where applicable regulations allow the loss of the right of withdrawal for digital content not supplied on a tangible medium, you agree that supply begins immediately after purchase and acknowledge that, once supply has begun, your right of withdrawal may be lost if that acceptance has been correctly obtained during the purchase process.

15. LIMITATION OF LIABILITY

Nothing in this Agreement excludes or limits liabilities that cannot be legally excluded, including, where applicable, fraud, wilful misconduct, intentional conduct, infringement of mandatory consumer rights, or death or personal injury where applicable law prohibits such exclusion.

Subject to the previous paragraph, EntasisType will not be liable for indirect, incidental, special, exemplary, punitive or consequential damages, including loss of revenue, loss of business, loss of contracts, loss of reputation or loss of data.

EntasisType's total aggregate liability arising from or related to the licensed Font Software will not exceed the greater of: (a) the amount actually paid for the affected Font Software; or (b) 250 EUR.

16. THIRD-PARTY CLAIMS

If a third party makes a claim alleging that the Font Software, as supplied by EntasisType and used within the scope of this licence, infringes that third party's intellectual property rights, the Licensee must notify us without delay and provide reasonable cooperation.

EntasisType's sole obligation will be, at its choice, to obtain the right for the Licensee to continue using the Font Software, modify or replace the Font Software with a functionally comparable alternative, or terminate the licence for the affected Font Software and refund the amount paid for it.

This clause does not apply to claims arising from unauthorised modifications, combinations not supplied by EntasisType, out-of-scope uses or breaches by the Licensee.

17. COMPLIANCE VERIFICATION

EntasisType may request from the Licensee a reasonable written confirmation of the identity of the Final Beneficiary, the applicable Licence Tier and the absence of unlicensed Excluded Uses.

The ordinary mechanism will be reasonable self-certification. EntasisType will not conduct invasive audits unless there is a reasonable and documented basis to suspect a material breach.

If under-licensing exists, the Licensee must acquire the correct licence or corresponding upgrade without delay.

18. TERM AND TERMINATION

This Agreement enters into force upon purchase, download, delivery or first use of the Font Software, whichever occurs first, and remains in force unless terminated.

EntasisType may terminate this licence if the Licensee commits a material breach and fails to remedy it within 15 days after written notice.

Upon termination, the Licensee must immediately cease all use of the Font Software and delete all copies, except those whose retention is legally required or strictly necessary for evidential purposes.

The clauses on ownership, restrictions, AI/ML, liability, applicable law and post-termination obligations will survive termination.

19. APPLICABLE LAW AND JURISDICTION

If you act in the course of a business or professional activity, this Agreement will be governed by the laws of Spain, excluding its conflict-of-law rules, and any dispute will be submitted to the courts and tribunals of Madrid, Spain.

If you act as a consumer, nothing in this Agreement deprives you of the mandatory rights or mandatory jurisdictional protections to which you are entitled under the law of your habitual residence.

EntasisType may seek injunctive relief or equivalent protection before any competent court to prevent unauthorised copies, improper exposure, extraction or redistribution of the Font Software.

20. GENERAL PROVISIONS

This Agreement and the order confirmation constitute the entire agreement between the parties regarding the licensed Font Software.

If any provision is declared invalid or unenforceable, the remaining provisions will remain in force.

Failure to exercise a right does not constitute waiver unless expressly stated in writing.

EntasisType may update this EULA for future purchases. The version applicable to each licence is the version accepted on the date of the relevant order, unless the law requires otherwise.

21. ORDER OF PRECEDENCE

If the Licensee signs an Enterprise agreement, custom licence, custom typeface commission or written particular terms with EntasisType, that document will prevail over this EULA in the event of conflict regarding the specifically regulated subject matter.
